These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Samker Co, LLC d/b/a Your VIP Pass ("Your VIP Pass," "we," "us," or "our"), a New York-based company, regarding your access to and use of the website yourvippass.com and any related subdomains, mobile applications, or services (collectively, the "Site" or "Services"). By accessing the Site or using our Services, including booking VIP events for NYC experiences, you agree to these Terms. If you do not agree, do not use the Site or Services.

We may update these Terms at any time by posting the revised version on the Site. Continued use after changes constitutes acceptance. Check this page periodically for updates.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Site, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

2. Access and Use of the Site

2.1 Access is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Site or any Services without notice.

2.2 You agree to use the Site only for lawful purposes and in compliance with these Terms. Prohibited uses include:

Uploading or transmitting harmful code, spam, or illegal content.
Interfering with the Site's functionality or other users' access.
Collecting data without consent or for unauthorized commercial purposes.

2.3 You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

3. Event Participation and Bookings

3.1 Our Services include booking and access to private VIP events, such as custom NYC experiences, brunches, and viewing areas (the "Events"). All bookings are subject to availability and these Terms.

3.2 Tickets and passes are non-transferable unless specified. You must present valid ID at Events. We reserve the right to refuse entry for violations of these Terms or event policies.

3.3 Payments: All bookings require full payment via approved methods. Prices are in USD and exclude taxes/fees, which you are responsible for. All sales are final. Due to the exclusive nature of our Events, no cancellations, refunds, or exchanges are permitted under any circumstances. Events may be canceled due to unforeseen circumstances (e.g., weather, venue issues), with rescheduling or alternative arrangements at our discretion; in such cases, we will notify you promptly but are not obligated to provide refunds.

3.4 Attendee Conduct: You agree to comply with event rules, including casual elegant attire (no jeans unless noted). Disruptive behavior may result in removal without refund. We are not liable for personal injuries or losses at Events, except as required by law.

3.5 Events are private and may involve third-party venues (e.g., restaurants). You release us from liability for third-party actions.

4. Intellectual Property

All content on the Site, including text, images, logos, and event descriptions, is owned by us or licensed to us ("Content"). You may view and print Content for personal, non-commercial use. You may not reproduce, distribute, or create derivative works without written permission. User-generated content (e.g., reviews) grants us a perpetual, royalty-free license to use it.

5. User Contributions

If you submit reviews, photos, or feedback, you represent that it is original and non-infringing. We may moderate or remove contributions at our discretion. You grant us rights to use submissions for promotional purposes.

6. Third-Party Links and Services

The Site may link to third-party sites (e.g., payment processors, venues). We do not endorse them and are not responsible for their content or practices. Use at your own risk.

7. Limitation of Liability

To the fullest extent permitted by law, Your VIP Pass, its affiliates, and partners disclaim all warranties, express or implied. The Site and Services are provided "as is." We are not liable for indirect, incidental, or consequential damages arising from use, including event disruptions. Our total liability shall not exceed the amount paid by you for the relevant Service.

For Events, you assume all risks, including health/safety. We carry insurance but recommend you obtain your own.

8. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Site/Services, breach of these Terms, or violation of laws.

9. Affiliation Disclaimer

9.1 Your VIP Pass is not affiliated with, sponsored by, endorsed by, or connected to any official NYC events, brands, or organizers referenced on the Site.

9.2 References to such events or trademarks on the Site are for informational purposes only, to describe our independent VIP experiences, and do not imply affiliation or endorsement.

9.3 All Events are third-party, private gatherings. Purchases do not grant access to official festivities.

10. Governing Law and Dispute Resolution

These Terms are governed by New York law, without regard to conflict principles. Any disputes shall be resolved exclusively in New York state or federal courts in New York County. We encourage informal resolution first; contact us at legal@yourvippass.com.

11. Changes to Terms

We may amend these Terms. Notice will be posted on the Site. Your continued use constitutes acceptance.

13. Specific Event Disclaimers

13.1 Our VIP events, including custom NYC experiences, brunches, and viewing areas (e.g., for parades, tree lightings, or Broadway), are independently organized private gatherings hosted at third-party venues (e.g., restaurants, lofts, or theaters). They provide enhanced hospitality and proximity to public events but do not include any interaction with, access to, or participation in official city-wide festivities, performers, stages, or activities organized by entities such as Macy's, Inc., Rockefeller Center, NBCUniversal, Broadway League, or NYC government bodies.

13.2 Your VIP Pass has no partnership, sponsorship, or contractual relationship with these or any referenced official organizers, brands, or trademarks. All Site references to NYC events, routes, timings, or attractions are for descriptive purposes to contextualize our independent services and do not suggest endorsement, collaboration, or official involvement.

13.3 Events may be impacted by external public event changes (e.g., weather delays, security restrictions, or cancellations), over which we have no control. We will notify you of any adjustments promptly, but no guarantees are made regarding event alignment, views, or proximity. Purchases support private, curated experiences and may benefit charities, but they do not contribute to or affiliate with official NYC events.
