YVP Terms & Conditions

Purchaser defined as listed above on the contract. Your VIP Pass hereby referred to as YVP.

All payments are non-refundable unless the event is canceled or rescheduled by YVP.

Purchaser agrees to remit any future payments as stated in the agreement.

If Purchaser increases the group size after final payment has been made, the Purchaser agrees to send additional payment promptly upon receipt of invoice therefore. If this payment is not received prior to the event, the Purchaser realizes the increased participants may not be accommodated. YVP will endeavor to accommodate the increased participants but there is no guarantee.

If Purchaser decreases the group size after final payment has been made, it is at the discretion of YVP to credit the overpayment to the Purchaser’s next event.

If Purchaser must cancel or terminate this contract and the services expected, for any reason, Purchaser agrees to give YVP thirty (30) days' written notice prior to the event date. If the Purchaser has paid for the event/program in full, it is at the discretion of YVP to credit the full payment less the deposit amount to the Purchaser’s next event.

Force Majeure: In no event shall YVP be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war orterrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services, epidemic, pandemic (including the COVID-19 pandemic), quarantine, civil commotion, breakdown of communication facilities, breakdown of web host, breakdown of internet service provider, governmental acts or omissions, changes in laws or regulations, national strikes, fire, explosion, or generalized lack of availability of raw materials or energy; it being understood that YVP shall use reasonable efforts which are consistent with accepted practices in the event industry to resume performance as soon as practicable under the circumstances.

Both Parties are independent contractors and nothing in this Agreement shall be construed to create a joint venture, partnership, franchise, or agency. This agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter. If any provision hereof is held to be unenforceable, the remaining provisions shall be unaffected and shall remain in full force and effect. This agreement may be amended or modified only by mutual agreement of the parties in writing. Purchaser may not assign or transfer its rights or obligations under this.

Agreement, whether by operation of law or otherwise. A waiver by any party of a breach or default hereof shall not constitute a waiver of any subsequent breach or default of the same or any other provision hereof. This Agreement shall be governed by the laws of the State of New York, without giving effect to any conflicts of law principles. Any disputes in connection with or arising out of this Agreement shall be referred to and finally determined by arbitration in Manhattan County, New York, from which arbitration there shall be no appeal. The prevailing party in any dispute shall be entitled to recover their reasonable and actual attorneys’ fees.

Indemnity. Vendor agrees to defend, indemnify and hold YVP, its affiliated and related entities, and any of their officers, directors, agents and employees, harmless from and against any claims, lawsuits, investigations, penalties, damages, losses or expenses (including but not limited to attorney's fees and costs) arising out of or relating to any of the following: (i) any breach or alleged breach by Purchaser of this Agreement or any of the representations, warranties or covenants herein; or (ii) any third party claim arising out of or relating to the products and services provided by Vendor,including but not limited to, any claims for false advertising, product defects, personal injury, death,or property damages.

Limitation of Liability: In no event shall YVP be liable or obligated to purchaser or any third party in any manner for any special, incidental, exemplary, consequential, punitive, or indirect damages of any kind regardless of the form of action, whether in contract, tort, negligence, strict product liability, or otherwise, even if informed of the possibility of such damages. YVP’s aggregate liability to purchaser shall be limited to the amount paid by Purchaser to YVP hereunder.

In the event that YVP must cancel or terminate this contract and the services expected, for any reason, YVP agrees, at the election of Purchaser, to either refund all amounts paid or credit the total cost of the contract to the Purchaser’s next event. The Purchaser agrees that should an event be canceled, YVP shall not be liable for any damages incurred by the Purchaser or any of its members resulting from changes or cancellation of the performance/event. YVP will make every effort to reschedule the event and minimize the impact to the Purchaser.

All amounts are in USD, unless otherwise stated on the contract. For amounts other than USD,the amount is subject to fluctuations with exchange rates.

Payments made via credit card are subject to a 4% fee.

Proposal price quotes are valid for 2 business days and will be confirmed upon contract signing.

YVP is not responsible for any allergic reaction, injury or damage to participants or property arising out of any act, omission, negligence or misconduct on the part of Purchaser or any of its guests, patrons or invitees.

YVP is not and cannot assume responsibility for personal property and equipment brought into the venue prior, during or following the event.

The Purchaser’s participating group(s) will be admitted into the selected venue(s) no earlier than five (5) minutes prior to start of event. If the Purchaser’s group needs a holding place prior to the event, arrangements must be made with YVP in advance.

The Purchaser is responsible for any damage to venues and equipment incurred by Purchaser or its guests.

Show / Concert tickets 20.a. The Purchaser may not cancel, seek a refund or exchange tickets once ticket payment has been received. No ticket reservation, verbal or written, is guaranteed until a deposit is received. 20.b. Any additional ticket orders placed after payment is received will be affected by ticket availability, seating assignments and ticket price. 20.c. If the Purchaser fails to make payment by the designated due date, all tickets may be released by YVP for public sale. YVP may retain all prior payments by the purchaser as liquidated damages for the Purchaser’s breach of agreement. 20.d All sales are subject to ticket availability. The Purchaser understands and accepts that the priority of seat location assignments will vary by attraction, date and circumstances. 20.e. In the event that the theater or the producers, for any reason, cancel a scheduled theater performance payment will be refunded. In the case of inclement weather, YVP will refer to the venue/theater’s policy and communicate this to your group. The Purchaser agrees that should a performance be canceled, YVP shall not be liable for any damages incurred by the Purchaser or any of its members resulting from changes in the show date, casting, time of performance or ticket prices, whether or not the Purchaser attends the performance.

Cancellations / Interruptions 21.a. In the event that YVP must cancel or terminate this contract and the services expected, YVP agrees to refund the total amount paid or apply credit on the Purchaser’s next event. The Purchaser agrees that should an event be canceled, YVP shall not be liable for any damages of any type whatsoever incurred by the Purchaser or any of its members resulting from changes or cancellation. TOG will make every effort to reschedule the event and minimize the impact to the Purchaser. 21.b. If Purchaser must cancel the program/event for any reason, including illness and Acts of God, YVP will work with the Purchaser to reschedule all events and attractions. Purchaser understands that rescheduling may mean an adjustment in package price due to a change in prevailing market rates. Purchaser also understands that Concert/Broadway tickets are nonrefundable. 21.c. If Purchaser must cancel or terminate this contract and the services expected, for any reason, Purchaser agrees to give YVP forty five (45) days written notice prior to the event date. If the Purchaser has paid for the event/program in full, it is at the discretion of YVP to credit a payment minus the non-deposit amount. The non-refundable deposit can only be credited to the Purchaser’s next event.

Trip Insurance 22.a. Group Travel Insurance is offered for all multi-day / day packages and covers trip cancellation, trip interruption, trip delay, emergency evacuation & repatriation, and worldwide emergency assistance. This insurance is offered through and provided by a licensed insurer. 22b. Purchaser has the right to deny the inclusion of trip insurance in their package. 22.c. Purchaser has the right to increase insurance coverage in their trip package. TOG can provide Purchaser with information on additional coverage. 22.d. Should a trip be canceled or interrupted, the Purchaser is responsible for filing necessary documents to claim insurance from their designated agency. 22.e. For purchasers WITHOUT trip insurance who must cancel or terminate this contract and the services expected, for any reason, Purchaser agrees to give YVP forty five (45) days written notice prior to the event date. All deposits are nonrefundable. If the Purchaser has paid for the event/program in full, it is at the discretion of YVP to credit the full payment less any non-refundable deposits and expenditures already paid out to the Purchaser’s next event. 22.f. Purchaser understands that in the event of trip cancellation with NO insurance coverage, YVP will endeavor but cannot guarantee to get refunds from any vendors paid in full. Purchaser understands that show/theater tickets are nonrefundable.

This event strictly enforces a policy of 21 years of age or older for the consumption of alcoholic beverages. ​By attending this event, you acknowledge and agree that you are of legal drinking age as per the regulations of [state/country] law. Valid identification may be required upon entry and throughout the event. The organizers reserve the right to refuse service to anyone unable to provide satisfactory proof of age or who appears to be intoxicated. Consumption of alcohol is solely at the discretion and responsibility of the individual. Please drink responsibly and in moderation. The organizers accept no liability for any consequences arising from the misuse of alcohol at this event.

This Agreement shall be governed by the laws of the State of New York.
